SOLEFIRE CONTRACTOR AGREEMENT
This Contractor Agreement (‘Agreement’) sets out the terms and conditions (‘Terms’) that govern the relationship between SoleFire (‘SF’, ‘Contractor’, ABN: 23 114 047 609), and the client, Australian Birth Stories (‘ABS’, ‘Client’, ABN: 89 644 699 507), during all agreed periods of engagement with SF’s business support services (‘The Services’).
In consideration of the above and the mutual benefits and obligations set forth in this Agreement, the Client and Contractor (collectively the ‘Parties’) agree to the Terms outlined below.
THE SERVICES:
The Services will provide Business Management assistance, that may include such activities as:
- Business Advisory and Strategy
- Project Management & Milestone Execution
- Directing Stakeholders, Contractors and Staff
- Communication and Liaison with Clients and Community
- Mediation with Sponsors, Collaborators & Supplier
- Website & Technical System Development
- Publishing Content for Podcasts, EDMs, Social Media and Website
- Email Inbox Monitoring and Management
SCHEDULE
The Services will be delivered between Monday-Thursday afternoons, totalling 14 hours per week.
DURATION OF AGREEMENT
The Term of this Agreement will span 1 year, from 13th November 2024 to 13th November 2025, upon which both Parties will have the opportunity to review this Agreement (and make any proposed adjustments) before renewal of a subsequent agreement term.
TERMINATION
Both Parties retain the right to terminate this Agreement on the basis of a confirmed breach of any agreed Terms. Upon such termination, the Contractor will invoice the Client for any Payment owing, and Payment will be due immediately upon receipt.
PAYMENT
The Client will pay compensation to the Contractor for The Services at the rate of AUD $895 per week (the 'Payment').
Invoices will be issued on a quatri-weekly (4 weeks) basis.
Any invoice payment will be due within 7 days of issue.
Any late, overdue, or unpaid invoice amounts may affect the Contractor’s ability to continue delivering the Services to the Client, and may attract additional account keeping fees (of $20 per 7 days delay).
INDEPENDENT CAPACITY
This Agreement relates to the delivery of The Services only, and does not constitute a partnership or joint venture between SF and ABS.
CONFIDENTIALITY
‘Confidential Information’ refers to any data or information relating to personal details, business procedures and systems, intellectual property, etc. which could reasonably be considered to be private or proprietary and not generally known (such as passwords and logins, contacts, etc).
The Contractor agrees not to disclose or share any Confidential Information, except as authorised by the Client or as required by law.

The obligations of confidentiality will apply during the Term and will survive indefinitely upon termination of this Agreement.
LIABILITY
ABS authorises SF to act on behalf of ABS (as a representative of ABS), when communicating with external parties, and using external services (such as online platforms and systems), where expressly requested by ABS and when reasonably required in the course of delivering The Services.
SF will not be liable for any loss, damage or delay to ABS due to circumstances beyond SF’s control or unintended results of services requested by ABS. Such circumstances may include (but are not limited to) acts of God, power outages, unresponsive external parties, etc. In the event of such loss, damage or delay, SF will make every effort to notify the relevant stakeholder immediately.
This indemnification will survive the termination of this Agreement.
