Squad Membership Agreement

SOLEFIRE SQUAD MEMBERSHIP AGREEMENT

This ‘Agreement’ sets out the terms and conditions (‘Terms’) that govern the relationship between SoleFire (‘SF’, ‘We’, ‘Us’, ABN 23114047609), and the client (‘You’, ‘Your’, ‘Member’), during any agreed period of engagement with SF’s business support services (‘The Services’, 'Squad Membership').

SOLEFIRE SQUAD MEMBERSHIP

By engaging The Services of SoleFire through the submission of a Squad Membership application, you agree to the Terms outlined below.

‘SoleFire Squad Membership’ (‘Squad Membership’) pertains to a specific semester period, commencing when your application has been accepted by SF.

Squad Membership entitles you to certain benefits (‘Membership Services’), which include you being matched with a Squad, monthly group mentoring sessions, access to a group chat, and some bonus goal setting and team building online sessions.

Your submission of a Squad Membership application indicates your commitment to the obligations and participation expectations outlined below, for the entire Squad Membership period.

SQUAD MEMBERSHIP PAYMENT POLICY

The price for Squad Membership was outlined and agreed to in your Squad Membership application.

Refunds cannot be provided due to changes of mind or circumstances.

Please be aware that your Squad Membership fee is due and payable regardless of whether you attend all of your Squad sessions or use any of the additional Squad Membership entitlements.

If you opted for Upfront Full Payment, your fee was due and submitted at the time of application and no further payment is required.

If you opted for the Payment Plan, you are committing to making 6x monthly auto-payments (one payment each month for the entirety of the semester), with the first payment submitted at the time of your application.

Any late, overdue, or unpaid invoice amounts may affect SF’s ability to continue delivering the Membership Services to you, and may attract additional late payment fees ($40 per 7 days delay).

SF reserves the right to cease delivery of any or all Membership Services to Members breaching these Terms, without refund.

MEMBER PARTICIPATION

Squad Membership grants you access to a curated support community, and therefore a certain level of participation is expected from all Members to get the most benefit out of The Services.

It is expected that Members can join Squad sessions from a location that is reasonably quiet and free from interruptions (this may include, closing other browser tabs and applications, silencing phones and email notifications, etc) and provide your full focus and participation to ensure the maximum benefit and respect of your fellow Squad Members.

Please arrive on-time and prepared for your sessions. You will get much more out of the sessions when you spend 10-15 minutes prior preparing.

Once any session dates are confirmed by SF, these are considered to be set appointments that each Member is expected to keep, in order to fulfill your commitment to the Membership and your fellow Squad Members.

COMMUNICATION

SF is based in Brisbane, Australia (Timezone: AEST) and will be available to respond to emails and group chats within 48 hours (Monday to Friday 9:30am – 4:30pm).

For any admin related matters, email should be chosen as the preferred method of communication (social media messaging is not considered official communication with SF).

PRIVACY POLICY

By applying to be a Squad Member, you consent to the collection, use and disclosure of your information in accordance with our Privacy Policy (https://solefire.au/terms), and consent to SF using your information to send you notifications and other information related to your Squad Membership and SF.

You acknowledge and consent that during the course of your participation in the Membership, some content in which you appear may be recorded (such as any audio or visual mediums used for online communication).

SF may use such elements and media for the purposes of verification, maximising the quality of the Membership, and potentially within SF promotional materials.

SF will not share any recorded elements with any third parties for any other purpose.

All sensitive information will be handled in accordance with our strict Confidentiality and Intellectual Property policies for all members, so that each member can have the confidence and protection to contribute fully.

CONFIDENTIALITY AND INTELLECTUAL PROPERTY

It is important that Squad Members feel comfortable and supported to share information about all aspects of their business in order to make the most of the Membership Services.

You agree not to disclose (keep strictly confidential), any information relating to any Member’s:

1. Intellectual property, including copyright, trademarks, patents, designs, trade secrets, know-how, artwork or other intellectual property owned, used or licenced by the Member.
2. Ideas, information, concepts, trade secrets, know-how, knowledge, systems or processes.
3. Inventions, technology, business methods or formulas.
4. Pricing lists or methods.
5. Customer or supplier information.
6. Financial performance or plans.
7. Sales or marketing plans.
8. Participation and conduct in Squad sessions or online forums.
9. Information which by its nature or by the circumstances of its disclosure, is or could reasonably be expected to be regarded as confidential to the Member or any third party with whose consent or approval that Member uses that information.

Likewise, you acknowledge and agree that all SF materials, including but not limited to any content, processes, procedures, strategies, contracts, applications or any other information or documentation provided during the course of The Services is the exclusive Intellectual Property and confidential information of SF.

You further agree that you will not disclose any of the above confidential information except with fellow Squad Members for the express purpose of participating in The Services (or as otherwise permitted by SF or the disclosing Member in writing, as the respective owner).

This includes not recording any group proceedings in any format, without the express permission of SF and all participating members.

You agree to notify SF if you become aware that any of the above confidential information has been disclosed to a third party, or any proprietary information/assets has been used without authorisation.

NON-COMPETE

The Squad is intended to be a safe space to share your process and plans with one another and therefore you agree to fully disclose your business ventures and intentions when applying to join the Squad, so that SF has a clear understanding of your industry and offerings in order to sufficiently match you with complimentary Members.

If a business venture type (type of product, service or related offering) of yours is not declared at the time of your Squad Membership application, and the undeclared business venture creates a problematic overlap (conflict of interest) with another Squad Member (or SF), as determined by SF, SF reserves the right to suspend your membership to prevent commercial conflicts until this can be resolved. This may involve re-placement in a different Squad, or may result in termination of your Membership if no satisfactory resolution can be obtained.

You agree to avoid willingly copying or co-opting other Squad Member’s or SF’s work, nor deliberately developing similar offerings for the purposes of competition with fellow Squad Members or SF.

SF endeavours to foster a mutually supportive environment for all Members to hone their ideas in, and appreciates the discretion and collaborative spirit of all participating Squad Members.

DISCLAIMER

Results and outcomes stemming from engagement with The Services are subject to numerous factors that cannot be fully controlled by SF. SF therefore cannot guarantee any specific results from The Services.

Likewise, all Members acknowledge that they each remain exclusively responsible for their own business decisions and actions, and indemnify SF and all other Squad Members from the consequences of implementing and acting on any feedback, suggestions, or referrals offered during the course of The Services.
